RULES OF USE OF THE PORTAL

Welcome to the website of Priego Brito and Guzmán Juárez on priegobrito.mx. Please read these terms carefully before contracting any service through our website www.priegobrito.mx and/or before contracting any service directly in our offices and make use of our services in general. If you do not accept these terms and conditions, you should not use this site or our services. By using this site electronically or any of our services, the User acknowledges that he/she has read, accepted, and agrees to be bound by these terms and conditions to the fullest extent permitted by law.

The following Terms and Conditions for the Use of the Portal (the Portal Rules of Use) are applicable to all websites of www.priegobrito.com, hereinafter identified as the portal owned by Priego Brito y Asociados S.C. hereinafter referred to as Priego Brito.

For the purposes of the present Rules of Use of the Portal, “User” will be considered to be: (i) the general public and/or Priego Brito's client that is browsing any section of the web site www.priegobrito.com , you have registered to create an account on the site, booked an appointment, requested a quote or contracted any service offered on the site www.priegobrito.com.

The User fully and unconditionally accepts both the Portal Rules of Use and the Privacy Notice, which together make up the legal notice permanently published on the Portal. Priego Brito reserves the right to update or revise these terms and conditions without prior notice; please check these terms and conditions periodically for changes. Your continued use of this site following the posting of any changes to these terms and conditions indicates your acceptance of those changes.

Priego Brito is a Mexican company focused on providing legal, accounting, technical, engineering, administrative and marketing services to all types of clients, offering the availability of specialists in various areas of law and industry sectors to provide an affordable and excellent service through the use of technology and innovation. These services do not include legal services, litigation accounting services outside the law, no services are offered to avoid paying taxes or aggressive strategies for tax evasion or tax fraud. Neither does the homework counseling service imply the literal elaboration of the homework or exams assigned to the student, but a patient orientation that allows him/her to successfully pass the assigned homework or exam.

It is worth noting that Priego Brito is a service intermediary through which several service providers develop the work requested through the platform. However, Priego Brito is not responsible for the opinion given by the specialist assigned for the resolution of the work. However, we guarantee the quality of the work through assisted reviews of the professionals' work so that the client always receives the service paid within the scope of the service. We also declare that none of the information or advertising on social networks (Facebook, Twitter, Whatsapp, Linkedin, Instagram or others), nor on the Website, can be considered as valid legal consultations made by Priego Brito, only those that are communicated within the framework of the provision of any service contracted by the user.

These Terms of Use govern the use of the Priego Brito web site and your access to it constitutes a binding contract or agreement between Priego Brito, a Mexican company with its principal place of business in Villahermosa, Tabasco and the User. Please read this Legal Notice carefully. The Legal Notice is mandatory and binding for all Users. In case the User does not agree with the Legal Notice in its entirety, he/she should refrain from using, operating, visiting the Portal and/or contracting the services provided by Priego Brito.

By using this Site and/or inducing the use of this Site electronically or through other means, the User indicates that he/she accepts the Agreement and that:

1. You acknowledge and agree that Priego Brito specifically disclaims any liability, loss, damage or risk resulting directly or indirectly from the Portal or the Services.
2. You acknowledge and agree that your use of the Portal is subject to the terms of the Legal Notice, as amended from time to time.
3. That you will only use the materials contained in the Portal for personal, non-commercial and informative purposes, and that you will not modify any of the materials contained therein, nor will you partially copy them for consultation or legal opinion.

USER BEHAVIOR

The User agrees to comply with all applicable local, state, national and international laws, regulations, ordinances, standards and rules and is solely responsible for all actions or omissions that occur as a result of using or accessing the Portal including, without limitation, the content of your transmissions to or through the Priego Brito websites. By way of example, but not limited to, the User agrees NOT TO DO the following:

1. Use the Portal in connection with chain letters, advertising e-mail, junk e-mail, or any duplicative or unsolicited messages, commercial or otherwise.
2. Collect, compile or disseminate information about third parties, including e-mail addresses, without the consent of the owner of the information.
3. Create a false identity or a forged e-mail address or header, or otherwise attempt to mislead others as to the identity of the sender or the origin of a message
4. Transmit through or to the Portal illegal, harassing, defamatory, abusive, threatening, harmful, vulgar, obscene, offensive or objectionable materials.
5. Transmit any material that may infringe the intellectual property rights or other rights of third parties, including, without limitation, trademarks, trade secrets or copyrights.
6. Transmit any material that contains viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious programs.
7. Use the Portal to violate any applicable law restricting the export or import of data, software or other content.
8. Interfering with or disrupting the operation of networks connected to Priego Brito websites or violating the standards, policies, rules or procedures of such networks.
9. Obtain or attempt to obtain unauthorized access to Priego Brito's Portal and websites or other accounts, computer systems or networks connected to Priego Brito's websites through password mining or any other means.
10. Interfering with the use and enjoyment of the Portal by another User.
11. Using the Portal in any unethical manner or against accepted community standards.
12. Use the Portal to promote business for the benefit of any company or service that is a competitor of Priego Brito.
13. Request the free consultation for users who need for the first time to solve a legal question in more than 1 (one) occasion, and in case their conduct is identified by Priego Brito to pay for additional consultations or be charged an account within the Web Site.
14. Ask questions or request work not offered in the scope of services.

It is expressly forbidden: (i) to use the Portal and the services for illegal, immoral, obscene or prohibited purposes by custom and applicable law and/or by this Legal Notice; (ii) to cause modifications, alterations and/or deletions, made by electronic means or in any other way, using licit or illicit resources, which may interfere in the administration or operation of the Portal and/or in the Services provided by Priego Brito.

The User will be responsible for the damages caused to Priego Brito derived from its acts or those coming from its officers, employees, factors, dependents and/or associated, subsidiary and/or affiliated individuals or legal entities.

USERS

In order for the User to contact Priego Brito for appointment scheduling, consultations, doubts, services and other options within the web page, he/she must have a User account or send an email, chat or text message identifying him/herself by his/her full name or company name and specifying the attention required. When resolving any questions or queries, you will be asked to provide personal information. Priego Brito's data collection and use policies regarding the privacy of such information are stipulated in the privacy policies of the service, this is incorporated here by reference for all purposes and can be consulted through our web page www.priegobrito.com. It is the User's responsibility to provide accurate, complete and updated information for his/her account; releasing Priego Brito and its specialists from any responsibility derived from providing false, incorrect or incomplete data for the resolution of the doubt or work requested. The User, through the use of the Portal agrees with what is stated in the Privacy Notice and is obliged to keep updated as soon as possible any change in the information provided.

USER PRIVACY

It is Priego Brito's policy to respect the privacy of the site users. Priego Brito's privacy policy is available at www.priegobrito.com. By entering the Portal, the User expressly declares his/her consent to provide his/her personal information and agrees that he/she has read, understood and accepted the Privacy Notice.

CONTENT OWNERSHIP RIGHTS

Priego Brito has the ownership and exclusive property of the rights granted by the laws in force and/or international treaties inherent to intellectual property, for all trademarks, commercial notices and computer programs, through which it commercializes and provides its services, including but not limited to: (i) the industrial property on the titles of registration of trademarks and commercial notices granted by the Mexican Institute of Industrial Property; (ii) the copyrights with respect to the computer program(s), system(s) and/or its derivatives, granted by the National Institute of Copyrights; and (iii) all developments, know how, distinctive signs and/or goods or rights that correspond to it in the field of intellectual property in its own right; all of the above identified hereinafter as Priego Brito's Intellectual Property.

Priego Brito does not grant any license or authorization of use of any kind on the Intellectual Property, unless expressly agreed in writing, therefore, the User acknowledges that: (i) he/she does not have any right on the Intellectual Property, and therefore undertakes to respect at all times the rights held by Priego Brito on it; (ii) he/she may not modify, alter, delete, copy or reproduce either totally or partially, including but not limited to, the informative content generated by Priego Brito, the Intellectual Property and/or any indication contained in the Portal.

The User agrees that all information provided on the site by Priego Brito is for informational purposes only and should not be considered as professional advice.

THIRD PARTIES.

Users' wireless telephone service providers, the manufacturers and vendors of the devices on which Users use or access the Portal, the developer of Users' operating system, and the operator of any app stores or similar services through which Users access the Portal and conduct transactions, (collectively, the Third Parties) are not a party to these Usage Rules and do not own or operate the Portal and are not responsible or liable for the Portal. The Third Parties make no warranties in connection with the Portal. They are not responsible for maintenance or other technical support services for the Site and shall not be liable for any other claims, losses, liabilities, damages, costs or expenses in connection with the Site.

The Portal and the Portal's transactional media were created for the latest commercially available version of the Users' internet operating systems and compatibility issues may arise when using older versions. Wireless network coverage and Wi-Fi network speed vary depending on the provider and geographic location. Priego Brito is not responsible for the limitations and/or failures in the operation of any wireless or Wi-Fi service used to access the Site or for the security of the wireless or Wi-Fi services. Likewise, Priego Brito is not responsible for any charges or fees for the use of data networks, which are the sole responsibility of the User.

USER-SUPPLIED CONTENT

By posting or submitting content to the Priego Brito websites, the User automatically grants Priego Brito the right to use, reproduce, perform, display, display, adapt, modify, distribute or promote the content in any form and for any purpose. Furthermore, the User agrees and warrants that he/she has the necessary ownership rights to such content or control over such content and that Priego Brito's publication and use of the content does not infringe or violate the rights of any third party. The User agrees and confirms that he/she is responsible for all content that he/she publishes or submits. In these cases, the User agrees to: (i) grant Priego Brito a free, non-exclusive and royalty-free authorization to use the shared data; and (ii) indemnify Priego Brito and/or its affiliates and specialists, from any action, claim or demand for any intellectual property infringement derived from the use of the shared data that the User sends to Priego Brito.

SPONSORSHIPS

All trademarks, service marks and/or trade names appearing on the Priego Brito sites that are not proprietary marks are the trademarks of their respective owners. Mention of any names, brands, products, or services of third parties does not constitute or imply an endorsement, promotion, or recommendation of such third parties or their products or services.

SUSPENSION OR DENIAL OF ACCESS

Priego Brito at its various locations may, without prior notice, suspend, disconnect, deny or restrict your access: (a) during a technical failure of the site or premises, or during modification or maintenance thereof; (b) if the User uses Priego Brito's sites and facilities in a manner that violates this agreement; or (c) if the User does anything or fails to do anything that in Priego Brito's opinion could have the effect of endangering the operation or integrity of the facilities of any of Priego Brito's branches, employees or customers.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

Professional service providers who provide services through the following are recognized as “specialists” or “specialists www.priegobrito.com.

Priego Brito websites may contain links to third party sites, resources and sponsors. The existence of links to and from Priego Brito websites to third party sites does not constitute an endorsement by Priego Brito of any third party sites, resources, sponsors or content and Priego Brito accepts no responsibility or liability, directly or indirectly, for any such sites, resources, sponsors or content.

Priego Brito does not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information presented or distributed through the Priego Brito websites. The User agrees that any reliance upon any such opinion, advice, statement or information is at the User's own risk.

Priego Brito and its specialists make no representations or warranties of any kind with respect to: (1) the content of the site; (2) any materials, information or functions accessed through software used on the site or accessed through the site; (3) any third party products or services or links to third parties; or (4) any breach of security associated with the transmission of sensitive information through Priego Brito's websites or any linked site. Priego Brito and its specialists do not accept any explicit or implicit warranty, including, but not limited to, those of non-infringement, merchantability or fitness for a particular purpose. Priego Brito does not warrant that the functions contained in the site or any material or content contained therein will be uninterrupted or error free, that all defects will be corrected, or that the Priego Brito web sites or the server on which it runs is free of viruses or other harmful components. Priego Brito accept no liability for any loss, expense and/or damage (including, without limitation, indirect, special or consequential loss or damage) arising out of the use of the Priego Brito web sites whether or not such expenses occur as a result of any negligent act or omission. If any law, regulation or decision implies that any term or warranty cannot be excluded, Priego Brito's sole liability will be, in the case of services, to re-supply the services previously contracted.

Priego Brito may offer its Users tools to perform transactions or otherwise interact with third parties, including individuals. Users must take appropriate measures when providing information to such third parties or otherwise interacting with such third parties. All contacts or interactions between the User and third parties are made at the User's own risk, and Priego Brito has no liability for such contacts or interactions.

INDEMNIFICATION

User hereby agrees to indemnify, defend and hold harmless Priego Brito and all of its subsidiaries, affiliates, officers, directors, owners, agents, employees, information providers, partners, licensors, specialists, licensees and licensors (collectively the Indemnified Parties) against all liability and costs incurred by the indemnified parties in connection with any claim relating to any breach by the User of this agreement, any unauthorized use of the site content or any breach by the User of the foregoing representations, warranties or covenants, including, without limitation, attorneys' fees and costs. The User must cooperate fully as reasonably required in defense of any claim. Priego Brito reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Priego Brito and the User shall not in any event settle any matter without the written consent of Priego Brito.

APPLICABLE LAW AND JURISDICTION

This agreement and all matters arising out of or relating to this agreement shall be governed by the laws of the United Mexican States, notwithstanding its choice of law rules. The parties agree that any legal action or claim related to this agreement must be brought and filed preferably in the federal courts located in the City of Villahermosa, Tabasco. Expressly waiving the jurisdiction of other jurisdictions and submitting to the jurisdiction of the courts based in Villahermosa, Tabasco; depending on the jurisdiction will be heard in a federal or local court. However, the parties shall give preference to negotiation, conciliation, mediation or arbitration as means to settle their disputes, always within a framework of effective communication, cordiality, honesty and good faith.

DISABILITY

If any provision of this agreement or any right or remedy contained herein is invalid or unenforceable in a particular jurisdiction: (a) it shall be construed or excluded in such jurisdiction only to the extent of the invalidity or unenforceability of the provision and (b) it shall not affect the validity or enforceability of such provision in any other jurisdiction or the remaining provisions in any jurisdiction.

WAIVER

The individual or partial use of a right does not exclude the future use of such right or the use of another right. If one of the parties does not use a right or delays the use of such right, this does not prevent the use of the right and does not operate as a waiver. A waiver is only valid in the specific case and for the specific purpose of its issuance.

RIGHTS

The rights and remedies of a party under this agreement do not exclude any other rights and remedies provided by law.

FULL AGREEMENT

This agreement is the entire agreement between the User and Priego Brito with respect to the matters dealt with in this document. No interpretation, arrangement, statement or stipulation not explicitly included in this document is binding. All correspondence, negotiations and other communications relating to the matters dealt with in this document that precede this agreement are suspended by this document and are incorporated herein.

NOTIFICATIONS

Priego Brito may receive communications related to the use of the Portal, at its business address located at: Av. Paseo Tabasco #1203, suite 1501, Col. Lindavista, Villahermosa, Tabasco, Mexico, C.P. 86050 and/or at the email address indicated in the Privacy Notice of this Portal.

Priego Brito will select the means of communication it deems appropriate, including the use of data messages, to respond to any request for information that it is legally required to respond to.
